These Terms and Conditions (hereinafter referred to as “Terms”) govern your use of the website cashgadget.co.uk (“Website”) and any associated services provided by Cebtec Ltd (“Company,” “we,” “us,” or “our”). By accessing or using the Website, you (“User,” “you,” or “your”) agree to be bound by these Terms. If you do not agree to all the terms set forth herein, you should not use the Website or our services.

By clicking the “Accept Terms and Conditions” button during your transaction, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these Terms and Conditions, you will not be able to proceed with selling your items to CashGadget.

Please read these Terms carefully as they contain important information about your rights, responsibilities, and obligations when using our Website and services, including limitations of liability, warranties, and dispute resolution provisions.

1. DEFINITIONS

1.1 “Reverse Commerce” refers to the process by which users sell their used or unwanted electronic devices, which are then refurbished, recycled, or resold by the Company.

1.2 “Device” refers to any electronic item or equipment that the User submits for sale through the Website.

1.3 “Service” refers to the Website and any other services provided by the Company related to the purchase, resale, refurbishment, or recycling of electronic devices.

1.4 “User” refers to any individual or entity that accesses or uses the Website and/or services.

2. ACCEPTANCE OF TERMS

2.1 By accessing or using the Website, creating an account, submitting Devices for sale, or otherwise engaging in any activity related to the Company’s services, you confirm that you have read, understood, and agree to these Terms.

2.2 If you are entering into these Terms on behalf of an organization or entity, you represent and warrant that you have the authority to bind such entity to these Terms.

2.3 We reserve the right to update, modify, or change these Terms at any time without prior notice. Your continued use of the Website after any changes to the Terms constitutes your acceptance of such changes. It is your responsibility to review these Terms periodically for updates.

3. ELIGIBILITY AND ACCOUNTS

3.1 To use the Website and Services, you must be at least 18 years old. We currently only accept items from within the United Kingdom. By accessing or using the Website, you represent and warrant that you meet these eligibility requirements.

3.2 You must have legal ownership or full rights to sell the Devices you submit for sale on the Website. By submitting a Device for sale, you warrant that you are the rightful owner or have obtained permission from the rightful owner to sell the Device.

3.3 Account Creation: To create an account with CashGadget, users must be at least 18 years old and reside in the United Kingdom. You will be required to provide accurate and complete information, including your full name, email address, and a secure password. By creating an account, you confirm that you meet these age and residency requirements and agree to provide up-to-date information.

3.4 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. You must take reasonable measures to protect your account from unauthorised access, including using a strong, unique password and logging out of your account after use. If you suspect any unauthorized use of your account or if your account information is compromised, you must notify us immediately and update your password as necessary.

4. DEVICE CONDITION AND VALUATION

4.2 Correct specificationThe specifications of the item you submit to CashGadget must match the specifications of the item we receive. If there is a discrepancy between the submitted and received specifications, the item’s price will be reassessed based on our price list for that specific item as of the date of evaluation.

4.2 Condition Assessment: The price offered for any Device is based on the condition you describe when submitting the Device through our Website. The Device’s condition must match the description provided at the time of submission.

4.3 Valuation Process: Upon receiving your Device, we will inspect it to confirm its condition. If the Device’s condition matches the description you provided, we will honor the quoted price. If we determine that the condition is different, we reserve the right to offer a revised price, which you may accept or decline.

4.4 Revised Offers: If you decline the revised offer, we will return the Device to you free of charge. If you do not respond to a revised offer within [7] days, your acceptance will be implied, and we will proceed with payment based on the revised price.

5. SHIPPING AND DELIVERY

5.1 Shipping Process: When you agree to sell a Device, we will provide you with a prepaid shipping label. You are responsible for packaging the Device securely to prevent damage during transit. You are required to retain your proof of postage, which will be provided by the designated drop-off location. Due to items being sent to different locations, please do not arrange your own courier as your item will be rejected. If you do not received your shipping label, your sale may have been rejected or refused.

5.2 Risk of Loss: You bear the risk of loss until the Device is received by the Company. We are not responsible for Devices damaged in transit, risk of loss from damage can be minimised by usage of sufficient and appropriate packaging. Coverage of up to £150, limited to the value of the item, is included for items that are lost in transit. An item is deemed lost if it has not been delivered within 14 days of the expected delivery date and the courier confirms that the item is missing. To claim compensation for a lost item, you must provide proof of postage, complete a claim form, and sign a legal disclaimer. Please ensure that all necessary documentation is submitted promptly to expedite the processing of your claim.

5.3 Inspection Upon Arrival: Once the Device arrives at our facility, it will undergo an inspection process to verify the condition. You will be notified of any discrepancies and presented with a revised offer, if applicable.

5.4 Our Free Courier Service: You must ensure that neither we nor our couriers are required to transport or handle any items that are unlawful to carry. We and our couriers will only handle parcels that comply with these Terms and Conditions and contain items that CashGadget accepts. To qualify, items must be sold to CashGadget by successfully entering or scanning their barcode, name, make, model, or IMEI number using our valuation service, receiving an offer price, and creating a unique order that is accepted by CashGadget. You will receive an email confirmation of a successfully completed order and access to our free Send Service.

If you nevertheless deliver items that CashGadget does not accept for carriage, or if you cause us or our couriers to handle items that do not meet our acceptance criteria, you will be liable for any loss or damage resulting from or related to those items. You will also indemnify CashGadget and our couriers against all penalties, claims, damages, costs, and expenses arising from such items. The items may be destroyed or otherwise disposed of at the sole discretion of CashGadget or by any person in possession of the items at the relevant time.

5.5 Courier Delays: Please be aware that payments can only be issued for items that have been received by CashGadget. We are unable to make payments for items that are delayed by couriers and cannot be held liable for any losses incurred due to such delays.

6. PAYMENTS

6.1 Payment Methods: Payments for accepted Devices will be made via Bank Transfer or PayPal. You are responsible for providing accurate and up-to-date payment information.

6.2 Payment Timing: Payments will be processed within one business days after the Device has been received, inspected, and accepted. The Company is not responsible for any delays caused by inaccurate or incomplete payment information provided by the User. We cannot be held responsible for any payment delays resulting from issues with banks or third-party payment processing systems. 

6.3 Non-Transferable Payment Rights: Payment for the sale of Devices is non-transferable and cannot be assigned to any third party.

6.4 Payment Holds: We cannot be held responsible for any holds or delays on funds that sellers may experience from their bank accounts or payment processors, such as PayPal holds. These holds are managed by the respective financial institutions or payment platforms and are beyond our control. If you encounter such issues, we recommend contacting your bank or payment processor directly for assistance.

7. USER RESPONSIBILITIES

7.1 Personal Information: You are responsible for providing accurate and complete information, including Device descriptions, contact details, and payment information. Failure to provide correct information may result in delays, loss of payment, or return of the Device.

7.2 Device Management Services: You are responsible for ensuring that any device management services or security features, such as iCloud, Find My iPhone, Microsoft Intune, or any similar service, are fully deactivated and removed from your device prior to submission.

7.3 Device Pins and Passcodes: Devices with unknown BIOS passwords, hard passcodes, or similar security locks will not be accepted.

7.4 Device Data: You remain responsible for the data on your device until it is received by CashGadget. This responsibility includes, but is not limited to, personal files and sensitive information. The Company will employ secure cryptographic methods to thoroughly erase data from devices, where applicable. However, we cannot be held liable for any data loss, theft, or exposure that may occur. We strongly recommend that you perform a complete data erasure on your device prior to shipping it to ensure the protection of your information.
 

8. DEVICE ELIGIBILITY AND ACCEPTANCE

8.1 Eligible Devices: We accept various types of electronic devices, which may include smartphones, laptops, tablets, and other consumer electronics. The list of eligible Devices is subject to change at our discretion. We generally accept only models that were produced and originally sold for the UK market. Items with the same specifications but manufactured for sale in other geographical locations may have a revised valuation or may be refused.

8.2 Non-Functional Devices: We may accept Devices that are not fully functional. The value of non-functional Devices will be determined based on the condition and resale or recycling potential.

8.3 Stolen Devices: We do not accept any Device that has been reported stolen, lost, or is under any legal or ownership dispute. By submitting a Device, you represent that it is free of any such claims. We reserve the right to surrender any items identified as stolen or counterfeit to the appropriate authorities. In such cases, no payment will be issued. Additionally, we may seek reimbursement for any costs incurred in connection with the handling of such items. To prevent fraud, we verify serial numbers against multiple databases.

8.4 Device Acceptance: A device is considered accepted by CashGadget once a successful inspection has been completed by a CashGadget staff member. You will receive a notification confirming the acceptance of the device.

8.5 Device Refusal: CashGadget reserves the right to refuse any items submitted for sale at its sole discretion. If an item is deemed unacceptable due to factors such as discrepancies in condition, violation of the Terms and Conditions, or any other reason deemed appropriate by CashGadget, the item will be returned to the address you provided during the checkout process. CashGadget will not be responsible for any additional costs or liabilities associated with the return of the refused items, including but not limited to shipping delays, incorrect address details, or items lost in transit. Furthermore, CashGadget is under no obligation to provide a detailed explanation for refusing an item but will notify you if such a decision is made.

9. PROHIBITED USE

9.1 Illegal Activities: You agree not to use the Website or our services for any unlawful purpose, including, but not limited to, the sale of stolen or counterfeit Devices, fraud, money laundering, or any other criminal activity. 

9.2 Interference: You agree not to interfere with, disrupt, or attempt to gain unauthorized access to any part of the Website, our services, or any related systems or networks.

9.3 Refusal of Service: We reserve the right to deny access to our platform or to ban sellers if necessary. This decision may be made at our discretion to ensure the integrity and smooth operation of our services. If we find that a seller is not complying with our policies or engaging in activities that undermine our community, we will take appropriate action, which may include suspension or permanent restriction from usage of our platform. We appreciate your understanding and cooperation in maintaining a positive and secure environment for all users.

10. INTELLECTUAL PROPERTY

10.1 Ownership: All content, materials, and features available on the Website, including but not limited to text, graphics, logos, icons, and software, are the property of the Company or its licensors and are protected by intellectual property laws.

10.2 License: You are granted a limited, non-exclusive, non-transferable license to access and use the Website for the purpose of utilizing our services. This license does not allow you to download or modify any portion of the Website except with express written consent.

11. LIMITATION OF LIABILITY

11.1 To the fullest extent permitted by law, the Company, its affiliates, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of your use of the Website, the sale of any Device, or any other transaction conducted through the Website.

11.2 We are not responsible for any damages or losses arising from the actions of third-party shipping carriers, payment processors, or any third-party services used in connection with the sale of a Device.

12. WARRANTIES AND DISCLAIMER

12.1 No Warranty: The Website and all services provided by the Company are provided “as is” without any warranties or guarantees of any kind, either express or implied. We do not guarantee that the Website will be free from errors, interruptions, or defects.

12.2 No Implied Warranties: To the fullest extent permitted by law, we disclaim any implied warranties, including those of merchantability, fitness for a particular purpose, and non-infringement.

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Company, its stakeholders, affiliates, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable legal fees, arising from your breach of these Terms, your violation of any law or regulation, or your infringement of any third-party rights.

Your use of the Website is also governed by our Privacy Policy, which is incorporated by reference into these Terms. By using our services, you agree to the collection and use of your information as described in our Privacy Policy.

15. DISPUTE RESOLUTION

15.1 Governing Law: These Terms are governed by the laws of the United Kingdom, without regard to its conflict of law principles.

15.3 Waiver of Class Actions: You agree that any arbitration or other legal proceedings shall be conducted on an individual basis and not as part of a class, consolidated, or representative action.

16.1 We reserve the right to terminate or suspend your access to the Website or services at our sole discretion, without prior notice, if you violate any provision of these Terms.

16.2 Upon termination, all provisions of these Terms that by their nature should survive termination (such as intellectual property rights, disclaimers, and limitations of liability) shall remain in effect.
